These terms govern access to and use of the Ledger platform provided by Serendipity LLC.
By accessing or using Ledger at https://ledger.serendipityllc.us you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the service. These Terms form a binding agreement between you and Serendipity LLC ("Ledger", "we", or "us").
Ledger is an AI-powered accounting automation platform that integrates with QuickBooks Online, Google Sheets, bank account feeds, and transactional email providers to help authorized users maintain financial books, reconcile transactions, and produce reports. Features may be added, changed, or removed over time.
Ledger is provided only to authorized users associated with pre-approved corporate domains. You must be at least 18 years old and have authority to accept these Terms on behalf of the organization whose data you connect. You are responsible for maintaining the confidentiality of your authentication credentials and for all activity under your account.
You retain all rights to the financial data in your connected systems. By connecting a system, you grant Ledger a limited license to read, cache, transform, and display that data solely to provide the features of the service. You represent that you have the authority to grant this access and that doing so does not violate any agreement with your financial institution or your accounting software vendor.
You will not:
Ledger integrates with third-party services (Intuit QuickBooks Online, Plaid, Google Workspace, Anthropic, SendGrid, and others). Use of those services is governed by their own terms, and Ledger is not responsible for their operation. Disruption or changes to a third-party service may affect Ledger functionality.
Where Ledger is provided on a paid basis, applicable fees and payment terms will be set out in a separate order form or subscription agreement. Where Ledger is provided free of charge or as a demonstration, we reserve the right to introduce fees or withdraw access with reasonable notice.
Ledger and its underlying software, interface, branding, and documentation are the intellectual property of Serendipity LLC or its licensors. Nothing in these Terms transfers any right, title, or interest in Ledger to you except the limited right to use the service while this agreement is in effect.
Information Ledger receives about your business financials is confidential. We will not disclose it to any party other than the sub-processors listed in our Privacy Policy or as required by law. See our Privacy Policy for details.
Ledger is provided "as is" and "as available". We make no warranties, express or implied, including fitness for a particular purpose, merchantability, or non-infringement. Ledger is not a substitute for professional tax, accounting, or legal advice, and AI-generated insights may contain errors — you remain responsible for the correctness of your books and filings.
To the maximum extent permitted by law, Ledger and Serendipity LLC will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenue, arising out of or related to your use of the service. Our aggregate liability arising from the service will not exceed the greater of (a) the fees paid by you to Ledger in the 12 months preceding the event giving rise to the claim, or (b) one hundred U.S. dollars ($100).
You agree to defend and indemnify Serendipity LLC from any third-party claim, liability, or expense (including reasonable attorneys' fees) arising from your violation of these Terms, your misuse of the service, or data you cause to be processed through the service in violation of applicable law.
Either party may terminate this agreement at any time by providing written notice. Ledger may suspend or terminate access immediately for violation of these Terms or if required by law. Upon termination, your right to use Ledger ends and we will delete or return your data in accordance with our Privacy Policy.
We may update these Terms from time to time. Material changes will be communicated by email to signed-in users at least 14 days before taking effect. Continued use of the service after the effective date constitutes acceptance.
These Terms are governed by the laws of the jurisdiction in which Serendipity LLC is organized, without regard to conflict-of-laws principles. Any dispute arising from these Terms will be resolved in the state or federal courts sitting in that jurisdiction, and you consent to personal jurisdiction there.
